Welcome to Borderpilot. These Terms of Service ("Terms") govern your access to and use of the Borderpilot website, web application, and related services (collectively, the "Services") provided by Borderpilot LLC, a Wyoming corporation. By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
These Terms are written in plain English to make them easy to understand. However, they form a legally binding agreement between you and the Company. Please read them carefully.
Definitions
To make these Terms clearer, here are some key definitions. These apply throughout unless otherwise stated:
- Affiliate: Any entity that controls, is controlled by, or is under common control with a party.
- B2B User: An employee or representative of a Corporate Client accessing the Services under an Enterprise Master Agreement.
- B2C User: An individual user accessing the Services for personal use, not on behalf of a Corporate Client.
- Corporate Client: A business entity that has entered into an Enterprise Master Agreement with us for use of the Services by its employees or representatives.
- Content: Any text, data, information, graphics, or other materials provided through the Services, including but not limited to country and visa matching results, relocation plans, and professional connections.
- Professional Services: Services provided by Third-Party Providers, such as visa lawyers, removalists, realtors, educators, pet relocators, or other professionals connected via the Services.
- Third-Party Providers: Independent professionals or service providers introduced or connected through the Services.
- User: Any individual or entity accessing the Services, including B2C Users and B2B Users.
Eligibility and Account Registration
You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent that you meet this requirement.
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.
B2B UsersYour access may be governed by your Corporate Client's Enterprise Master Agreement. In case of conflict, the Enterprise Master Agreement controls.
Description of Services
The Services assist with international relocation by providing:
- A country matcher/selector to identify potential destinations.
- A visa matcher/selector to explore visa options.
- A relocation plan creator to outline steps for your move.
- Connections to Third-Party Providers for executing aspects of your relocation (e.g., visa applications, moving services, real estate, education, pet relocation).
- A dashboard to monitor relocation activities (once available).
We may update or modify the Services at any time without notice. Features like connections to Third-Party Providers may not be available in all regions or at launch.
Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms. You must not:
- Use the Services to violate any laws, including immigration, data protection, or consumer protection laws.
- Upload or share harmful content, such as viruses, malware, or spam.
- Impersonate others, harass users, or infringe intellectual property rights.
- Attempt to reverse-engineer, hack, or disrupt the Services.
- Use automated tools (e.g., bots) to access the Services without our permission.
- Collect or harvest user data without consent.
We may suspend or terminate your access if you violate these rules, without liability to you.
Third-Party Intermediary Clause
Important NoticeWe act solely as an intermediary platform connecting you with Third-Party Providers. We do not provide Professional Services ourselves.
- Any contracts, agreements, or transactions for Professional Services are directly between you and the Third-Party Provider.
- We facilitate communication and electronic execution of contracts on our platform, but we are not a party to those contracts.
- All liability for Professional Services—including errors, delays, damages, or disputes—rests solely with the Third-Party Provider.
- You agree to release us, our Affiliates, officers, directors, employees, and agents from any claims, liabilities, or losses arising from Professional Services or interactions with Third-Party Providers.
We may receive fees or commissions from Third-Party Providers for connections, but this does not make us responsible for their performance.
Legal Disclaimer and Limitations on Information
IMPORTANT DISCLAIMERTHE SERVICES PROVIDE INFORMATIONAL GUIDANCE ONLY AND DO NOT CONSTITUTE LEGAL, IMMIGRATION, FINANCIAL, OR PROFESSIONAL ADVICE.
- We are not a law firm, immigration agency, or licensed advisor. Our matching algorithms (e.g., for countries, visas, or relocation plans) are based on publicly available data and may be incomplete, inaccurate, outdated, or subject to change without notice.
- All Content is for informational purposes only. It is not a substitute for professional advice. Immigration laws and requirements vary by country and can change rapidly.
- You must independently verify all information with official government sources, qualified professionals, or other reliable authorities before taking any action.
- We make no representations or warranties about the accuracy, completeness, or suitability of the Content. Reliance on the Services is at your own risk.
You agree that we are not liable for any decisions, actions, or outcomes based on the Services, including denied visas, relocation failures, or financial losses.
Intellectual Property
The Services, including all Content, software, algorithms, and trademarks (e.g., "Borderpilot"), are owned by us or our licensors. You receive a limited, non-exclusive, revocable license to use the Services for personal or internal business use (as applicable). You may not copy, modify, distribute, or create derivative works without our written consent.
User-generated content (e.g., your relocation data) remains yours, but you grant us a worldwide, royalty-free license to use, store, and display it as needed to provide the Services.
Privacy and Data
Your privacy matters. Our collection, use, and sharing of personal data (including sensitive visa/relocation information) are detailed in our Privacy & Cookie Policy, incorporated here by reference.
We comply with applicable data protection laws, including GDPR (for EU users) and CCPA (for California users). For cross-border data transfers, we use standard contractual clauses or other approved mechanisms.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- We and our Affiliates disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.
- Our total liability for any claim will not exceed the amount you paid us in the 12 months prior to the claim (or $100 if no payment was made).
These limitations apply regardless of legal theory and even if a remedy fails its essential purpose.
Indemnification
You agree to indemnify, defend, and hold harmless us, our Affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, or expenses (including attorneys' fees) arising from:
- Your use of the Services.
- Your violation of these Terms or applicable laws.
- Your interactions with Third-Party Providers.
- Any content you provide.
Dispute Resolution: Arbitration and Class Action Waiver
MANDATORY ARBITRATIONAny dispute arising from these Terms or the Services will be resolved by binding arbitration, not in court, except for small claims.
- Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for B2C Users) or Commercial Arbitration Rules (for B2B Users).
- Arbitration will occur in Wyoming, USA, or virtually if agreed.
- The arbitrator's decision is final and binding, with limited appeal rights.
CLASS ACTION WAIVERYou agree to resolve disputes on an individual basis only. No class, consolidated, or representative actions are permitted.
You may opt out of arbitration within 30 days of accepting these Terms by emailing contact@borderpilot.com with your name, address, and opt-out request.
Governing Law
These Terms are governed by Wyoming law, without regard to conflict of laws principles. You consent to exclusive jurisdiction in Wyoming courts for non-arbitrable matters.
Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use after changes constitutes acceptance.
Termination
We may terminate or suspend your access at any time, for any reason, without notice or liability. Upon termination, your license ends, and you must stop using the Services.
Sections surviving termination include Disclaimers, Liability Limitations, Indemnification, Arbitration, and Governing Law.
Miscellaneous
- Entire Agreement: These Terms, plus our Privacy & Cookie Policy and any Enterprise Master Agreement (for B2B Users), form the entire agreement.
- Severability: If any provision is invalid, the rest remain enforceable.
- Waiver: No waiver of any term is binding unless in writing.
- Assignment: We may assign these Terms; you may not without our consent.
- Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters, pandemics).
